Sage Products LLC, a wholly owned subsidiary of Stryker Corporation (“Sage” or “Licensor”) grants a limited, non-exclusive, revocable, and restricted license to use the downloaded training video (“Training Video”) solely for internal training and educational purposes (“Limited License”). This Limited License is granted solely to the individual downloading the Training Video, whose name and email address are set forth below (the “Licensee”).
Under the Limited License, Licensee has the rights to use and display the Training Video internally to its employees. Licensee agrees that the Limited License excludes the following rights to:
(a) Edit, modify, copy, alter, synchronize, or create derivative works from the Training Video; or
(b) Distribute or display publicly the Training Video or any derivative works, in whole or in part, in any medium and for any purpose other than for internal training and educational purposes.
Licensee agrees to use the Training Video only in a manner that is wholly consistent with this Limited License, any other agreement(s) between Licensee and Sage, and any guidelines/policies provided by Sage from time to time. Licensee agrees that it will hold Sage and its parents, subsidiaries, affiliates, assigns, and those acting under Sage’s authority (“Sage Indemnitees”) harmless from and will indemnify each Sage Indemnitee for any and all liability incurred as a result of or resulting from Licensee’s use of the Training Video.
Licensee shall not be allowed or authorized to assign, convey, sell, or otherwise transfer in any manner the rights granted under this Limited License without the prior written consent of Sage. Sage may in its sole discretion, at any time and for any reason, revoke or modify the Limited License.
